These Terms and Conditions govern the use of cocoannotator.com and the engagement of services provided through this platform. By accessing the website or entering into a service arrangement with us, you agree to these Terms.

Definitions

For the purpose of clarity:

• Agreement – The written contract, proposal, and associated documents governing service engagement.
• Client Content – Any data, materials, or information supplied by the client.
• Deliverables – The outputs or results specified within the Agreement.
• Company Tools – Proprietary systems, workflows, software, templates, and methodologies used by cocoannotator.com.
• Final Deliverables – Completed outputs delivered under the Agreement.
• Project – The defined scope of work agreed upon by both parties.
• Services – Annotation, labeling, data processing, consulting, or related work performed by us.
• Third-Party Materials – External software, content, or tools integrated into the Project where necessary.

Delivery of Services

Services are provided according to the milestones, deliverables, and timelines described in the Agreement. We apply professional judgment and commercially reasonable efforts when performing the Services.

Timely completion depends on client cooperation, including provision of necessary materials and approvals.

Proposals and Scope

Unless otherwise specified, proposals remain valid for thirty (30) calendar days. If not accepted within that period, we may revise and resubmit them.

Work outside the agreed scope requires written confirmation before commencement.

Fees and Financial Terms

Unless otherwise stated:

• Third-party costs are invoiced separately
• Approved expenses may be charged at cost
• Clients are responsible for applicable taxes

Payment Conditions

Invoices are due within five (5) days from the invoice date unless otherwise agreed in writing. Payment schedules may be structured according to milestones.

Failure to make timely payment may result in adjusted delivery schedules.

Scope Modifications

All change requests must be submitted in writing.

Minor changes that do not materially affect cost or delivery timelines may be implemented without formal amendment. Significant changes impacting scope, pricing, or deadlines require a revised or supplemental Agreement.

Revised proposals should be confirmed within fourteen (14) working days.

Delays and Force Majeure

If project timelines are delayed due to incomplete client input, approvals, or materials, deadlines will be extended accordingly.

Delays arising from circumstances beyond reasonable operational control may justify schedule adjustments without constituting breach.

Evaluation and Acceptance

Deliverables undergo internal quality review before submission.

Clients have seven (7) working days to review submitted deliverables and request revisions within scope. Absence of feedback within this period may be considered acceptance.

Client Responsibilities

Clients agree to:

• Provide accurate and lawful materials
• Ensure Client Content does not infringe third-party rights
• Respond promptly to requests for approvals or clarification
• Conduct final review of deliverables unless otherwise agreed

Attribution and Portfolio Use

Unless restricted by written agreement, we may reference completed projects in portfolios or marketing materials, provided references are factual.

Confidential Information

Both parties agree to protect non-public information exchanged during the Project.

This obligation does not apply to information that becomes publicly available or is lawfully obtained from independent sources.

Relationship Between Parties

cocoannotator.com operates as an independent contractor. Nothing in these Terms establishes a partnership, employment, or joint venture.

Subcontractors may be engaged where appropriate, while responsibility for delivery remains with us.

Limitation of Liability

To the extent permitted by applicable law, services are provided without guarantees beyond those expressly agreed. Our liability for any claim related to services is limited to the amount paid for the relevant portion of the Project.

Intellectual Property Rights

Upon full payment, the client receives a non-exclusive, worldwide, perpetual license to use the Final Deliverables as agreed.

All Company Tools, internal systems, and methodologies remain our property unless transferred in writing.

Support Services

Ongoing support is provided only if agreed separately. Such services may incur additional charges. Warranty coverage may not apply if deliverables are modified without authorization.

Updates to These Terms

We may revise these Terms from time to time. The version published on cocoannotator.com at the time of use governs the relationship. Continued use of the website or services indicates acceptance of any changes.
